These Terms of Service (“Terms”) govern the use of services provided by Nexx Digital Agency (“Agency”, “we”, “us”, “our”). By accessing our website, submitting an inquiry, signing a proposal, or engaging our services, you agree to these Terms.

1. Services

We provide professional digital services worldwide, including but not limited to:

  • Website design and development (landing pages, corporate websites, e-commerce stores)
  • Shopify and Webflow development and customization
  • E-commerce setup and optimization
  • Commercial video and photo production
  • Copywriting and content creation for digital projects
  • Domain connection, DNS configuration, and website launch setup

All services are provided remotely unless otherwise agreed in writing.

2. Engagement & Project Scope

The specific scope, timeline, and pricing of services are defined in a Proposal, Statement of Work (SOW), or other written agreement provided by the Agency.

Any services not explicitly listed are considered out of scope and may require additional fees.

3. Payment Terms

  • 50% upfront deposit is required before the start of any work.
  • 50% final payment is due before project delivery and transfer of files, access, or ownership.
  • All payments are made in USD, unless otherwise agreed.
  • Work may be paused if payments are delayed.

No deliverables, files, source materials, or access credentials will be transferred until full payment is received.

4. Intellectual Property (IP) Rights

All designs, content, code, media, and materials created by the Agency remain the intellectual property of the Agency until full payment is received.

Upon full payment:

  • Ownership of the final deliverables is transferred to the client.
  • The Agency retains the right to display the work in its portfolio, case studies, and marketing materials, unless otherwise agreed in writing.

Third-party assets (fonts, stock images, plugins, platforms) remain subject to their respective licenses.

5. Revisions & Client Responsibilities

  • Reasonable revisions are included as specified in the Proposal or SOW.
  • Additional revisions or changes beyond scope may incur extra fees.
  • The client is responsible for providing accurate content, approvals, and feedback in a timely manner.

Delays in client feedback may affect delivery timelines.

6. No Guarantee Disclaimer

The Agency does not guarantee:

  • specific business results,
  • sales, conversions, traffic, rankings, or revenue.

All services are provided on a best-effort professional basis.

7. Confidentiality

Both parties agree to keep confidential information private and not disclose it to third parties, except as required to perform the services or by law.

8. Termination

  • Either party may terminate a project with written notice.
  • All completed work up to the termination date must be paid.
  • Deposits are non-refundable once work has started.
  • Unpaid work remains the property of the Agency.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Agency’s liability is limited to the total amount paid for the services.
  • The Agency is not liable for indirect, incidental, or consequential damages.

10. Force Majeure

The Agency is not liable for delays or failure to perform due to events beyond reasonable control, including but not limited to technical failures, third-party services, natural disasters, or government actions.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to conflict of law principles.
